These Terms of Use (“Terms”) govern your access to and use of the Stone Brook Solutions LLC website and any related online services (the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

These Terms govern general use of the Stone Brook Solutions LLC website. If you complete our Pre-Engagement Assessment, separate Assessment-specific Terms of Use and Privacy Policy govern that tool and the data it collects.

1. Use of the Service

Stone Brook Solutions LLC grants you a limited, non-exclusive, non-transferable license to access and use the Service for lawful purposes consistent with these Terms. You agree not to:

  • Use the Service in any manner that violates applicable federal, state, or local law or regulation
  • Transmit any content that is unlawful, defamatory, harassing, abusive, fraudulent, or otherwise objectionable
  • Attempt to gain unauthorized access to any portion of the Service or related systems
  • Introduce any malicious code, virus, or disruptive technology into the Service
  • Scrape, harvest, or systematically collect data from the Service without prior written consent

2. Information Collected Through the Website

You are granted a limited, non-exclusive license to view and use Service content for personal, non-commercial informational purposes only. No content may be reproduced, distributed, modified, or published without prior written consent from Stone Brook Solutions LLC.

5. Pre-Engagement Assessment Tool

Stone Brook Solutions LLC makes available a Pre-Engagement Assessment tool through or in connection with the Service. Use of that tool is governed by separate Assessment-specific Terms of Use and Privacy Policy, which are presented to you prior to beginning the Assessment. Completion of the Assessment does not create a consulting engagement, contractual obligation, or any professional advisory relationship. Any formal engagement is governed by a separately executed Master Services Agreement, Non-Disclosure Agreement, and Statement of Work.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Stone Brook Solutions LLC does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Any content on the Service is for informational purposes only and does not constitute professional consulting, legal, financial, or technical advice.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STONE BROOK SOLUTIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING DAMAGES ARISING FROM RELIANCE ON ANY CONTENT AVAILABLE THROUGH THE SERVICE. IN NO EVENT SHALL STONE BROOK SOLUTIONS LLC’S AGGREGATE LIABILITY EXCEED ONE HUNDRED DOLLARS ($100).

The Service may contain links to third-party websites. These links are provided for convenience only. Stone Brook Solutions LLC has no control over and assumes no responsibility for the content, privacy practices, or terms of any third-party website. Visiting a linked website is at your own risk.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, available at www.stonebrooksolutions.com/privacy-policy/, which is incorporated into these Terms by reference.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Maryland, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within thirty (30) days, disputes shall be resolved by binding arbitration in Harford County, Maryland under the rules of the American Arbitration Association. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction for matters involving intellectual property or unauthorized use of the Service.

11. Amendments

Stone Brook Solutions LLC may update these Terms from time to time. Material changes will be communicated by posting an updated version with a revised effective date and, where practicable, by email notice to individuals who have submitted contact information through the Service. Continued use of the Service after the effective date of any revision constitutes acceptance of the updated Terms.
